Acceptance of terms.
By accessing or using www.solcruit.com (the "Website") or by submitting any enquiry through it, you accept these Terms of Use ("Terms") in full. If you do not agree with any part of these Terms, please do not use the Website.
These Terms form a legally binding agreement between you and Green Panel Solutions GmbH, the operator of the Website. References to "Solcruit", "we", "us", and "our" in these Terms mean Green Panel Solutions GmbH acting under its Solcruit brand.
About Solcruit and its role.
Solcruit is a business division and brand of Green Panel Solutions GmbH, a limited liability company organised under Austrian law with its registered office at Volksgartenstraße 3/2.OG, 1010 Vienna. Further details are available in our Imprint.
Solcruit operates as a sourcing and qualification platform for the European photovoltaic (PV) and battery energy storage (BESS) sector. Our activities consist of:
- Identifying and pre-qualifying electricians, subcontractor firms, EPCs, and developers against the standards required by project operators in our network
- Screening land and property partners for suitability for battery energy storage projects
- Introducing pre-qualified parties to established European PV and BESS operators
- Maintaining the relationship with introduced parties to monitor match quality over time
Where the parties we introduce subsequently enter into commercial relationships with operators, those relationships are governed by the contractual terms agreed between those parties and are independent of these Terms.
Use of the website.
You may use the Website for lawful purposes only. You agree not to:
- Use the Website in any way that breaches applicable law or regulation, including but not limited to data protection, intellectual property, and anti-discrimination laws
- Submit false, misleading, or fraudulent information through the contact form or in subsequent communications
- Impersonate another person or entity, or submit information on behalf of someone without their authority
- Attempt to gain unauthorised access to the Website, its servers, or its underlying systems
- Use automated scraping, harvesting, or data extraction tools, or otherwise systematically extract information from the Website
- Reproduce, distribute, or commercially exploit Website content without our express prior written permission
- Interfere with, disrupt, or impair the security, integrity, or performance of the Website
- Use the Website to transmit malware, spam, or unsolicited commercial communications
We reserve the right to suspend or terminate access to the Website for any user found to be in breach of these provisions.
Information you submit.
When you submit information through the contact form, by email, or in subsequent communications, you represent and warrant that:
- The information you provide is accurate, current, and complete to the best of your knowledge
- You have the legal right to share the information — including, where applicable, qualifications, certifications, references, site or property details, and any commercial information
- Submission of the information does not violate any third-party rights, including intellectual property, privacy, or confidentiality rights
- Submission does not violate any applicable law, regulation, or contractual obligation
- You consent to the processing of the information in accordance with our Privacy Policy, including, where relevant, the onward sharing of the information with project operators in our network
We reserve the right, but assume no obligation, to verify the accuracy of any information submitted before proceeding with qualification or introduction. Provision of inaccurate or misleading information may result in the suspension or termination of the qualification process and, where appropriate, the operator relationship that follows from it.
No guarantees of placement.
Solcruit makes no guarantee, warranty, or representation of:
- A successful match with any project operator
- A specific timeframe for qualification, introduction, or subsequent commercial engagement
- A particular outcome from any operator interaction or commercial conversation
- The acceptance of any submitted candidate, firm, site, or property by any operator
- The commercial terms, pricing, project volume, or duration of any relationship that may result from an introduction
The qualification process is conducted at our discretion, applied against operator-defined criteria that we update from time to time. We are not obliged to disclose the specific reasons for declining to pre-qualify or introduce any submitter, except where required by applicable law.
No fees for candidates and partners.
Solcruit's services are provided free of charge to electricians, subcontractor firms, and BESS land and property partners introduced through our network. We do not charge candidates or partners any fee, commission, or other consideration for our sourcing, qualification, or introduction activities.
Solcruit's commercial relationship is with the project operators for whom we source, not with the parties we introduce. Any future change to this fee structure will be communicated transparently and only with the prior agreement of the affected parties.
Intellectual property.
All content on the Website — including but not limited to text, images, illustrations, logos, graphics, design elements, layout, and underlying code — is the property of Green Panel Solutions GmbH or its licensors and is protected by Austrian, European, and international copyright and trademark law.
The "Solcruit" name, logo, and visual identity are trademarks of Green Panel Solutions GmbH. Third-party trademarks, trade names, and product names appearing on the Website (including manufacturer names referenced in our editorial content) are the property of their respective owners.
You may not reproduce, distribute, modify, publish, transmit, or otherwise exploit any content from the Website for commercial purposes without our express prior written consent. Downloads and copies of Website content are permitted only for private, non-commercial reference use.
Disclaimer of warranties.
The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by Austrian law, we make no representations or warranties of any kind, whether express or implied, regarding:
- The accuracy, completeness, timeliness, or quality of the information provided
- The fitness of the Website or its content for any particular purpose
- The uninterrupted, error-free, secure, or virus-free operation of the Website
- The actions, conduct, performance, or commercial reliability of any project operator to whom you are introduced
We disclaim all implied warranties to the maximum extent permitted by Austrian law.
Limitation of liability.
To the maximum extent permitted by Austrian law:
- Solcruit shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or in connection with your use of the Website or our services, including but not limited to loss of profits, loss of business opportunity, loss of data, or loss of goodwill, regardless of the legal theory of liability
- Solcruit shall not be liable for the acts, omissions, performance, or financial condition of any project operator to whom you are introduced. Any commercial relationship between you and an operator is independent of these Terms and is at your own commercial risk and responsibility
- Solcruit's total cumulative liability arising from or in connection with these Terms, the Website, or our services shall, to the maximum extent permitted by law, be limited to one hundred euros (€100). This limitation reflects the fact that our services are provided free of charge to introduced parties
The above limitations do not apply to liability that cannot be excluded or limited under mandatory Austrian law, including liability for intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), personal injury, death, fraud, or any other liability that cannot be lawfully excluded.
Indemnification.
You agree to indemnify, defend, and hold harmless Green Panel Solutions GmbH and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms
- Your submission of inaccurate, misleading, or unauthorised information
- Your violation of any applicable law or regulation
- Your infringement of any third-party right
- Your conduct in any commercial relationship that follows from an introduction made by Solcruit
Modifications to these Terms.
We may modify these Terms from time to time to reflect changes in our services, applicable law, or business practices. The current version is always available at www.solcruit.com/legal/terms. The "Last updated" date at the bottom of these Terms indicates when the current version came into force.
Where a modification materially affects parties already in an active qualification or introduction process with Solcruit, we will provide reasonable advance notice by email. Continued use of the Website or continued participation in our services after a modification constitutes acceptance of the revised Terms.
Governing law and jurisdiction.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the Republic of Austria, excluding its conflict-of-laws principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms, the Website, or our services is the competent court for the first district of Vienna, Austria. This exclusive jurisdiction is subject to mandatory consumer protection laws that may grant consumers the right to sue at their place of residence or to be sued only there.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any respect under any applicable law, the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired. The invalid provision shall be replaced by a provision that comes as close as legally permissible to the economic intent of the invalid provision.
Entire agreement
These Terms, together with the Imprint and Privacy Policy referenced herein, constitute the entire agreement between you and Solcruit (Green Panel Solutions GmbH) with respect to your use of the Website and its services, and supersede any prior agreements or understandings.
